Merchant Terms of Service

Are you a consumer booking a facility? These Merchant Terms govern facility operators who use SnagATime as their booking and operating software. If you are a consumer using SnagATime to find or book a venue, see our Terms of Use instead.

These Merchant Terms of Service ("Merchant Terms") are a binding agreement between you (the "Operator", "Merchant", or "you") and SnagATime LLC ("SnagATime", "we", "us", or "our"), a Washington limited liability company. They govern your access to and use of the SnagATime software platform and related services as the operator of an indoor activity venue (the "Merchant Services").

By creating an Operator account or using the Merchant Services, you agree to these Merchant Terms. If you do not agree, do not use the Merchant Services. The person accepting these Merchant Terms represents that they have authority to bind the Operator entity.

1. The Merchant Services

SnagATime provides software and related services for indoor activity venues, including:

  • A booking platform for public and member reservations;
  • Membership management, dynamic pricing, and rule enforcement;
  • Door-access, bay-automation, and other facility integrations (where available and configured);
  • Payment processing through Stripe Connect;
  • Email and SMS messaging to your customers (subject to applicable rules);
  • Listing on the public SnagATime directory and discovery platform;
  • Operator dashboard, reporting, and support.

Specific features available to you depend on the subscription tier you have selected (Foundation, Autopilot, or Scale, as described at snagatime.com/operators#pricing) and the integrations you configure.

2. Subscription and pricing

  • Month-to-month by default. The Merchant Services are provided on a month-to-month basis with no required long-term contract.
  • Annual prepay. If you choose annual prepay, you receive a 15% discount on the equivalent monthly price; annual prepay is non-refundable except as required by law.
  • Subscription fees are billed in advance for each billing period and are non-refundable for partial periods.
  • Pricing changes. If we change pricing for new customers, your existing pricing will be honored as long as your subscription remains active. We will not raise prices on existing customers without your express consent.
  • Per-facility pricing. Subscription fees apply per facility. Operators with multiple facilities will be billed accordingly; multi-location discounts may apply.
  • Taxes. Prices do not include taxes. You are responsible for any applicable taxes on the Merchant Services and on the transactions you facilitate through SnagATime.

3. Stripe Connect and payment processing

SnagATime uses Stripe Connect to process payments from your customers ("Guests") on your behalf. By using the Merchant Services to accept payments:

  • You authorize SnagATime to facilitate the creation of a Stripe Connect account associated with your Operator account, and you agree to the Stripe Connected Account Agreement and the Stripe Services Agreement;
  • You agree to provide accurate information for identity verification, including business name, address, beneficial owner information, and tax identification as required by Stripe and applicable law;
  • Stripe holds funds in your connected account until disbursed to your designated bank account in accordance with Stripe's payout schedule;
  • Stripe deducts payment processing fees (currently 2.9% + $0.30 per transaction for most card types, subject to Stripe's current fee schedule). SnagATime does not mark up Stripe processing fees.
  • Chargebacks and disputes. You are responsible for chargebacks, refunds, and disputes related to bookings at your facility. Stripe may deduct chargebacks from your connected account.
  • Reserves. Stripe may establish reserves on your connected account based on its risk assessment; reserve terms are governed by Stripe.

4. Operator obligations

You agree to:

  • Accurate information. Provide and maintain accurate facility information including location, hours, pricing, rules, and any rules or terms applicable to bookings at your facility.
  • Honor confirmed bookings. Make commercially reasonable efforts to honor confirmed bookings made through SnagATime. If you must cancel a booking, do so promptly through the platform.
  • Compliance. Comply with all laws, regulations, and licensing requirements applicable to your facility, including labor, ADA accessibility, alcohol service (if applicable), and consumer protection laws.
  • Safety. Maintain your facility and equipment in safe condition. You are solely responsible for the safety of Guests at your facility.
  • Refund policy. Clearly publish your cancellation and refund policy through SnagATime. Process refunds promptly when due.
  • Customer support. Provide reasonable customer support to Guests who book at your facility, including responding to inquiries through SnagATime.
  • Authorized representative. The individual creating your Operator account represents that they have authority to bind your business and to accept these Merchant Terms.

5. Data and content

Operator data ownership

You own your customer data. Information about Guests who book at your facility through SnagATime (names, contact details, booking history, payment records) belongs to you, subject to applicable privacy laws and to the rights of the Guests themselves.

  • You may export your customer data at any time in standard formats through the Operator dashboard or by request to admin@snagatime.com.
  • If you cancel your subscription, you have at least thirty (30) days from cancellation to export your data. After that period, SnagATime may delete operational data not required for legal, tax, fraud-prevention, or dispute-resolution purposes.
  • You are responsible for handling your customer data in accordance with applicable privacy laws, including providing notices, honoring privacy rights, and securing the data.

SnagATime content license

You grant SnagATime a non-exclusive, royalty-free, worldwide license to use, copy, display, distribute, and modify your facility information, trademarks, photographs, descriptions, and other content you provide ("Operator Content") for the purpose of operating, promoting, and providing the Merchant Services and the SnagATime marketplace. This license includes the right to list your facility in the public SnagATime directory and to feature it in marketing materials.

You represent that you have all necessary rights to grant this license and that your Operator Content does not infringe the rights of any third party.

6. SMS messaging

The Merchant Services include the ability to send SMS messages to your Guests through SnagATime's SMS infrastructure (provided by Twilio). By using SMS functionality, you agree to:

  • Consent. Send SMS only to phone numbers that have opted in to receive SMS from you or from SnagATime on your behalf.
  • Content rules. Send only messages that are factually accurate, lawful, and consistent with applicable rules (including CTIA messaging guidelines, 10DLC TCR registration requirements, and TCPA where applicable).
  • Opt-out compliance. Honor opt-out requests (STOP messages) immediately. SnagATime's platform processes STOP / HELP / START automatically; do not attempt to override or work around these features.
  • Message frequency. Avoid excessive messaging. Transactional messages (booking confirmations, reminders, door codes, receipts) are typically permitted; promotional messages require separate opt-in.
  • Registration. SnagATime registers as the brand and may register campaigns on behalf of Operators through TCR. You agree to provide accurate brand and campaign information when requested.
  • Liability. You are responsible for compliance with SMS regulations as the message sender. SnagATime is not liable for fines, penalties, or claims arising from non-compliant messaging you send through the platform.

7. Migration assistance

SnagATime provides free automated migration assistance from many existing booking platforms (Birrdi, Registry, AllBooked, uSchedule, Square Appointments, Acuity, and others) at no additional cost. White-glove migration assistance for complex existing data is available for a one-time fee of $500.

Migration assistance is provided on a best-effort basis. We will work to migrate available data accurately but cannot guarantee complete or error-free data transfer; you are responsible for verifying migrated data before relying on it operationally.

8. Service availability

  • SnagATime targets high availability but does not guarantee uninterrupted service. Scheduled maintenance, third-party service disruptions, and unforeseen events may cause downtime.
  • We will provide reasonable advance notice of scheduled maintenance through the Operator dashboard or email.
  • The Merchant Services may evolve over time. We may add, modify, or remove features as long as we do not materially degrade the core functionality you have subscribed to.

9. Support

  • Foundation and Autopilot tiers include email support during business hours and access to in-product help.
  • Scale tier includes priority email support with a four-hour business response target.
  • Support is provided in English. Response times depend on issue severity and volume.

10. Confidentiality

Each party agrees to protect the other's confidential information using the same care it uses for its own (and at least reasonable care). Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

11. Termination

  • Termination by you. You may terminate your subscription at any time through the Operator dashboard or by emailing admin@snagatime.com. Termination is effective at the end of the then-current billing period unless we agree otherwise.
  • Termination by us. We may suspend or terminate the Merchant Services for material breach of these Merchant Terms (including non-payment, fraud, abuse, or violation of applicable law) with notice and a reasonable opportunity to cure where the breach is curable.
  • Effect of termination. Upon termination: (a) your access to the Merchant Services ends; (b) you have at least thirty (30) days to export your data; (c) we will process pending payouts in accordance with Stripe's standard timeline; (d) you remain liable for fees accrued through the termination date.
  • Survival. Sections of these Merchant Terms that by their nature should survive termination (data ownership, content license, disclaimers, limitation of liability, indemnification, governing law) will survive.

12. Disclaimers

THE MERCHANT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SNAGATIME DOES NOT WARRANT THAT THE MERCHANT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SnagATime is not liable for the conduct of Guests at your facility, the accuracy of Guest information, or the outcome of any transaction between you and a Guest.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE MERCHANT TERMS.

EACH PARTY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE MERCHANT TERMS WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO SNAGATIME UNDER THESE MERCHANT TERMS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to: (a) your obligation to pay fees; (b) breaches of confidentiality; (c) infringement of intellectual property rights; (d) indemnification obligations; or (e) any liability that cannot be limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless SnagATime, its affiliates, and their officers, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your operation of your facility, (b) your interactions with Guests, (c) your violation of these Merchant Terms or applicable law, or (d) your Operator Content infringing third-party rights.

15. Governing law and disputes

These Merchant Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Disputes arising out of or related to these Merchant Terms will be resolved in the state or federal courts located in Island County, Washington, and the parties consent to the jurisdiction of those courts.

16. Changes to these Merchant Terms

We may update these Merchant Terms from time to time. We will provide at least thirty (30) days' notice of material changes by email to your Operator account contact or through the Operator dashboard. Your continued use of the Merchant Services after the effective date of a change indicates your acceptance. If you object to a material change, you may terminate your subscription before the change takes effect.

17. Miscellaneous

  • Entire agreement. These Merchant Terms, together with any order form and the Privacy Policy, constitute the entire agreement between you and SnagATime regarding the Merchant Services and supersede prior agreements on the subject.
  • Assignment. You may not assign these Merchant Terms without our prior written consent. SnagATime may assign these Merchant Terms in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Independent contractors. The parties are independent contractors. Nothing in these Merchant Terms creates a partnership, joint venture, agency, or employment relationship.
  • Notices. Notices to SnagATime should be sent to admin@snagatime.com. Notices to you will be sent to the contact information on your Operator account.
